On August 13, 2026, Hyperscale Data, Inc. announced that its board-authorized special committee approved a one-for-five reverse stock split of its Class A common stock, following stockholder approval in April 2026 for a split ratio between one-for-two and one-for-five. The reverse split will take effect in Delaware on August 24, 2026, with trading on a split-adjusted basis on the NYSE American expected to begin August 25, 2026 under a new CUSIP number.
The transaction will uniformly affect all outstanding common shares, equity incentive plan shares, and shares underlying options and warrants, without changing overall shareholder ownership percentages except where fractional shares arise, which will be settled in cash rather than stock. Computershare Trust Company will serve as exchange and transfer agent, handling certificate exchanges and fractional-share payments, while the company continues to prepare for its planned 2027 divestiture of Ault Capital Group via exchange of Series F preferred stock into ACG shares.
