Dida Inc. has become the target of a voluntary conditional general cash offer, with Nomura International (Hong Kong) acting on behalf of eLong, Inc. to acquire all issued shares in the Hong Kong-listed company. As of 5 August 2026, the offer has secured valid acceptances for about 51.74% of Dida’s shares, largely driven by irrevocable undertakings from key shareholders representing more than half of the company’s equity.
With the acceptance threshold surpassed and all other conditions met, the share offer is now unconditional, giving the offeror and its concert parties effective control of Dida Inc. The transaction consolidates ownership under eLong and its parent Tongcheng Travel Holdings, potentially reshaping Dida’s strategic direction and governance while signaling further integration within China’s broader online travel and mobility ecosystem.
