On July 23, 2026, CleanCore Solutions, Inc. entered into a series of agreements with a development partner to form Monarch SPV HoldCo LLC, a joint venture to finance, build and operate an approximately 55 MW AI data center campus in Minnesota anchored by Cerebras Systems Inc. The structure gives ZONE a 79% stake and PartnerCo 21%, with ZONE committing up to $500 million of capital under a staged funding schedule tied to a $479 million project budget.
The project is underpinned by a 10‑year colocation services agreement with Cerebras covering 40 MW of critical IT load, fully pre‑leasing the campus and giving the contract an estimated initial value of about $800 million, with two 10‑year renewal options that could lift total value above $3 billion. About 20 MW of utility power was already energized by late July 2026, supporting an initial 15 MW of IT load, with the remaining capacity and associated revenue expected to come online in the first quarter of 2027.
PartnerCo contributes project assets, development services and an energy optimization software license instead of further capital, and receives $1 million in ZONE stock plus staged cash and performance‑based bonuses for hitting cost and delivery milestones. Governance arrangements give ZONE board majority but require PartnerCo’s consent for major decisions, while cash distributions initially favor ZONE until it recoups a defined priority return, after which profits flow in proportion to ownership stakes.
The Minnesota campus, announced publicly on July 29, 2026, marks ZONE’s second AI infrastructure development after its West Texas project and extends its footprint in power‑intensive AI compute hubs. By locking in a long‑term anchor tenant and majority economic interest while limiting funding shortfall exposure largely to dilution, the company is seeking to de‑risk its pivot into AI data centers and provide visibility on future revenue streams for investors.
