Clean Harbors ( (CLH) ) has shared an announcement.
On August 12, 2026, Clean Harbors announced a definitive agreement to acquire EnviroServe, a national environmental and waste management services provider based in Sandy, Utah, for $470 million in cash from an affiliate of One Rock Capital Partners. EnviroServe serves nearly 2,500 customers through 40 locations permitted in 48 states, offering remediation, rail services, industrial cleaning, emergency response and hazardous and non-hazardous waste transportation and processing, with more than 700 employees, over 700 specialized vehicles and a predominantly recurring revenue base.
EnviroServe is expected to generate approximately $27 million in annual Adjusted EBITDA on about $250 million of revenue, and Clean Harbors projects roughly $25 million of cost synergies over the first two years, implying a post-synergy multiple of about nine times Adjusted EBITDA and making the deal meaningfully accretive to earnings and cash flow. The acquisition, expected to close in the second half of 2026 subject to regulatory approvals, will expand Clean Harbors’ U.S. footprint with 10-day transfer and solidification facilities, railcar cleaning sites and a large rolling stock fleet, strengthening its Technical and Field Services businesses and creating cross-selling opportunities while offering career growth for EnviroServe employees.
