Charter Communications ( (CHTR) ) has issued an announcement.
On May 16, 2025, Charter Communications entered into a transaction agreement with Cox Enterprises under which Charter will acquire 100% of the equity interests in subsidiaries of Cox Communications that operate its commercial fiber and managed IT and cloud services businesses. Cox Enterprises will also contribute the equity of Cox Communications, after its conversion to a limited liability company, and other primarily residential cable assets to Charter Communications Holdings, while making a nominal $1 payment to Charter.
Charter has now filed a current report providing unaudited interim condensed consolidated financial statements of Cox Communications as of and for the three and six months ended June 30, 2026, along with pro forma financial information for the six months ended June 30, 2026 and the year ended December 31, 2025. These pro forma statements are designed to show how the Cox assets and businesses being transferred would affect Charter’s consolidated financials, giving investors and other stakeholders a view of the anticipated impact of the transaction on Charter’s balance sheet and earnings profile.
