On June 24, 2026, Centessa Pharmaceuticals fully repaid and terminated its loan and security agreement with Oxford Finance and other lenders, as part of its acquisition by Eli Lilly’s subsidiary LDH XV Corporation. That same day, following a U.K. court-sanctioned scheme of arrangement first approved on June 22, 2026, Lilly acquired all outstanding Centessa shares for $38 in cash per share plus non-transferable contingent value rights of up to $9 per share, covering ordinary stock, options and restricted stock units under company equity plans.

At the effective time of the deal on June 24, 2026, Centessa became a wholly owned Lilly subsidiary, its shareholders lost all shareholder rights in exchange for the transaction consideration, and the company moved to delist and deregister its ADSs from Nasdaq, ending its public-reporting status. The acquisition triggered a broad management and board overhaul, with Centessa’s senior executives and directors departing, two new directors appointed by the buyer, and the termination of an at-the-market equity offering program, underscoring Centessa’s transition from an independent, market-listed biotech to a fully integrated unit within Lilly’s corporate structure.
