CareMax Stockholders Approve Reverse Split Vote

CareMax (CMAX) has released an update to notify the public and investors about the submission of matters to a vote of security holders.

CareMax, Inc. conducted a special meeting of stockholders on January 23, 2024, with a quorum achieved as 66,776,601 out of 112,340,628 shares of Class A common stock were represented. Stockholders approved an amendment to the Company’s Third Amended and Restated Certificate of Incorporation to effectuate a reverse stock split of Class A Common Stock within a ratio range of 1-for-10 to 1-for-40, as well as a corresponding reduction in the authorized shares, based on future determination by the Board of Directors. No other issues were voted upon at this meeting.
