Capital One Completes $2 Billion Senior Notes Offering

Capital One Financial Corporation finalized a public offering of $2 billion in aggregate principal amount of its Fixed-to-Floating Rate Senior Notes on February 1, 2024. This consisted of $1 billion due in 2030 and another $1 billion due in 2035, in collaboration with several leading underwriters including BofA Securities and J.P. Morgan. The offering was based on an underwriting agreement dated January 29, 2024, and the notes, registered under the Securities Act of 1933, were issued under a Senior Indenture from 1996, with The Bank of New York Mellon Trust Company serving as the Trustee.
