On February 1, 2024, Bruker Corporation entered into an agreement with institutional accredited investors to issue Series A, B, and C Senior Notes with aggregate principal amounts of CHF 50 million, CHF 146 million, and CHF 135 million respectively, at varying interest rates and maturing from 2034 to 2039. The sale is exempt from registration under the Securities Act of 1933, with a closing date expected around April 15, 2024, subject to customary conditions. The notes are unsecured and may be guaranteed by the company’s subsidiaries, with provisions for prepayment and specific covenants regarding the company’s financial ratios and operations. Proceeds will be used for various corporate purposes.
