Hyperscale Data Ends ATM Equity Program, Refocuses Strategy

Hyperscale Data ( (GPUS) ) has shared an update.

On May 28, 2026, Hyperscale Data announced it has terminated its amended and restated at-the-market Issuance Sales Agreement, under which Spartan Capital Securities acted as lead sales agent and Wilson-Davis & Co. served as an additional agent for sales of its Class A common stock. The company sold about 137.6 million shares, raising approximately $24.7 million in gross proceeds, and began the 10-day termination process on May 27, 2026, with the agreement scheduled to end on June 8, 2026, after which it will have no further obligations and will halt additional sales under the ATM.

The company signaled that it may pursue other capital markets options at a later date, framing the move as part of broader efforts to manage its capital structure while it prepares for the planned divestiture of Ault Capital Group and a sharper focus on data centers, high-performance computing and digital assets. The termination of the ATM closes off a source of equity funding that has diluted shareholders but provided liquidity, and it shifts investor attention toward the forthcoming exchange-based spin-off of ACG and the evolving balance between Hyperscale Data’s core AI infrastructure operations and its legacy diversified holdings.

Spark’s Take on GPUS Stock

According to Spark, TipRanks’ AI Analyst, GPUS is a Neutral.

The score is held down primarily by weak financial performance—large ongoing losses and heavy cash burn outweigh improving revenue/gross margin and a more normalized leverage profile. Technicals are modestly supportive in the near term, while corporate events are directionally positive but introduce capital-structure and potential dilution risks; valuation remains constrained due to negative earnings and no provided common dividend yield.
