Essity Updates Share Class Conversion and Voting Structure

Essity AB ( ($SE:ESSITY.B) ) has shared an update.

Essity AB, a global hygiene and health company headquartered in Stockholm and listed on Nasdaq Stockholm, supplies tissue, incontinence, baby and feminine hygiene products and related health solutions under brands including TENA, Tork, Libero, Libresse and Tempo. With operations in about 150 countries, net sales of approximately SEK 138bn in 2025 and some 36,000 employees, the group holds a leading position in consumer and professional hygiene markets.

The company has disclosed that, in August, shareholders requested the conversion of 350,200 Class A shares into Class B shares, reducing Essity’s total number of votes to 1,174,812,540 while leaving the total share count unchanged at 681,945,171. Following the transaction, Essity now has 54,763,041 Class A shares and 627,182,130 Class B shares outstanding, a shift that marginally lowers voting concentration among A-share holders but does not alter overall equity, reflecting ongoing adjustments in its capital and governance structure.

The conversion process, carried out under Essity’s articles of association and disclosed in line with the Financial Instruments Trading Act, indicates continued use of Sweden’s dual-share framework that separates voting power from economic ownership. For investors, the move underscores that Essity’s shareholder base is gradually tilting toward more B shares with lower voting rights, a trend that may have subtle implications for control dynamics without affecting the company’s operational performance or strategic direction.

By maintaining transparency around such changes in voting power, Essity reinforces its commitment to regulatory compliance and clear communication with the market. The updated share and vote distribution data offers stakeholders a more precise view of the company’s governance profile, which is relevant for both existing shareholders tracking their influence and prospective investors assessing Essity’s ownership structure alongside its strong position in the global hygiene and health industry.
