The Company announced the retirement of Mr. Thomas and the appointment of Mr. Shaked in a press release issued on January 22, 2024. The press release, provided as Exhibit 99.1, is not considered “filed” under Section 18 of the Exchange Act and is not subject to its liabilities, nor is it incorporated by reference into any Securities Act or Exchange Act filings.
