Autodesk received an expected deficiency notification letter from the Listing Qualifications Staff of Nasdaq on April 19 indicating that the company was not in compliance with Nasdaq listing rules as a result of its failure to timely file its Annual Report on Form 10-K for 2024. The Notice has no immediate effect on the listing or trading of the company’s common stock on Nasdaq. The company has 60 calendar days after the Notice to submit a plan to regain compliance with the Listing Rule. Following receipt, Nasdaq may grant an extension of up to 180 calendar days from the Form 10-K’s due date, or until October 14, for the company to regain compliance. The company intends to take the necessary steps to regain compliance with Nasdaq’s listing rules as soon as practicable. The internal investigation is ongoing and all parties continue to work diligently to complete the investigation and to file the Form 10-K as soon as practicable. The company currently does not believe that any of the matters under investigation affect any previously issued financial statements or the information in the company’s earnings release on February 29, 2024.
